Andiamo — Terms of Service (Mobility Platform)

DRAFT — MANDATORY ATTORNEY REVIEW BEFORE PRODUCTION USE. Rideshare carries substantial liability exposure (TNC insurance requirements, driver classification, personal injury, state TNC laws including Washington RCW 46.72B). Do not accept real users until licensed counsel has reviewed and signed off.

IMPORTANT NOTICES

  • Arbitration and class-action waiver. Sections 17 and 18 contain a binding arbitration agreement and class-action waiver. Read them carefully. You may opt out of arbitration within thirty (30) days of first acceptance following the procedure in Section 17.3.
  • Platform — not a carrier. Andiamo is a technology platform that connects independent drivers with riders. We are not a transportation carrier and we do not provide transportation services directly (Section 2).
  • Driver obligations. Drivers carry specific legal and insurance obligations (Sections 7, 10, 11).

1. Parties

These Terms of Service ("Terms") form a binding legal agreement between you (a "Rider," "Driver," "Helper," "Provider," or other user) and Andiamo LLC ("Andiamo," "we," "us," or "our"), a Washington limited-liability company, operator of Andiamo at https://andiamo.tech (the "Service").

By creating an Account, registering as a Driver or Provider, requesting a Ride, or otherwise using the Service, you accept these Terms.

2. What Andiamo is — and is not

Andiamo is a technology platform that connects independent drivers and transportation providers with riders, and connects community helpers with neighbors requesting services. Andiamo:

  • Is not a transportation carrier.
  • Does not provide transportation services directly.
  • Does not employ or contract drivers to perform transportation services on its own behalf.
  • Does not own, lease, operate, or maintain vehicles used on the platform.

Drivers and Providers are independent contractors, not employees or agents of Andiamo, and are solely responsible for their performance and compliance with law.

3. Definitions

  • "Account" — a registered account on the Service.
  • "Content" — data, text, images, ratings, reviews, messages, or other material submitted to the Service.
  • "Driver Agreement" — the Driver-facing agreement governing participation as an independent Driver, including terms on payouts, fees, and insurance.
  • "Helper Credits" — non-cash credits that subsidize rides under the Helper program.
  • "Ride" — a transportation service arranged through the Service.
  • "TNC laws" — state Transportation Network Company laws, including Washington RCW 46.72B.

4. Eligibility

4.1 All users

You must be at least 18 years old to use the Service.

4.2 Drivers (additional)

To register as a Driver you must additionally:

  • Hold a valid driver's license.
  • Operate a vehicle that meets our vehicle standards and any applicable TNC vehicle standards.
  • Maintain continuously in force personal vehicle insurance meeting the minimums required by your jurisdiction and any additional limits required by TNC laws.
  • Pass our onboarding checks (identity verification, background check where legally permitted, driving-record check, and vehicle documentation review).
  • Comply with all applicable federal, state, and local laws, including TNC laws.
  • Enter into the Driver Agreement.

4.3 Providers

Providers must meet applicable category requirements (business registration where required, licensure for regulated services, insurance appropriate to the service).

5. Account and security

You are responsible for maintaining the confidentiality of your credentials and for all activity under your Account. Notify us at support@andiamo.tech of unauthorized access. One person per Account. You may not share your Account with another person.

5A. Driver statutory benefits (Washington ESHB 2076)

Notwithstanding Drivers' status as independent contractors, Washington Drivers receive the statutory benefits required by ESHB 2076 (2022) and subsequent amendments, including:

  • Minimum per-trip compensation. Andiamo pays Drivers no less than the per-minute and per-passenger-platform-mile rates (or the per-trip minimum) set by the Washington Department of Labor & Industries and adjusted annually each September 30. Outside cities with populations greater than 600,000, the 2022 base rates are $0.34 per minute + $1.17 per passenger-platform-mile, or $5.00 per trip, whichever is greater (subject to annual inflation adjustment).
  • Paid sick leave. Drivers accrue one hour of paid sick leave for every 40 hours of passenger-platform time, beginning after 90 hours of platform time, with carryover of up to 40 hours annually. Sick leave is used in four-hour minimum increments.
  • Workers' compensation. Andiamo pays Washington L&I premiums for Drivers' dispatch and passenger-platform time at the taxicab rate class. Coverage is mandatory — not opt-in — and does not alter Drivers' independent-contractor status for other purposes.
  • Deactivation due process. Drivers have a right to just-cause review of deactivations through a designated arbitration panel with make-whole / back-pay authority. The deactivation policy and appeal procedure are set forth in the Driver Agreement.

6. Rides, fares, and payments

6.1 Fare calculation

Fares are calculated based on distance, time, and demand at the time of the Ride, plus applicable taxes, tolls, fees, and optional gratuity. The Service supports dual payment — partial fiat payment and partial payment by in-service credits (including Helper Credits where eligible).

6.2 Authorization

By using the Service you authorize Andiamo (and its payment processor) to charge your selected payment method for amounts due at the time they become due.

6.3 Cancellations

Riders may cancel before pickup per the cancellation policy disclosed in-product. A cancellation fee may apply when the Driver has committed resources to the Ride.

6.4 Driver payouts

Drivers receive Ride fares less the platform fee set out in the Driver Agreement. Payouts are made via Stripe Connect on the schedule disclosed. Drivers are responsible for their own tax obligations; we issue 1099-K forms where required.

7. Driver obligations

Drivers agree to:

  • Maintain required insurance continuously and provide proof on request.
  • Transport Riders safely and lawfully, obeying all traffic laws and posted limits.
  • Not operate while impaired by alcohol, drugs, fatigue, or any condition that would impair safe driving.
  • Keep the vehicle clean, roadworthy, and compliant with inspection requirements.
  • Comply with our Community Standards and Driver Agreement.
  • Promptly report accidents, incidents, or changes in driving/criminal history to us and to authorities as required.
  • Not refuse service or discriminate on any basis prohibited by law (race, color, national origin, religion, sex, gender, sexual orientation, disability, age, or any other protected category).
  • Accommodate service animals as required by the Americans with Disabilities Act and applicable state law.

8. Rider obligations

Riders agree to:

  • Treat Drivers with respect. Harassment, threats, or violence are prohibited.
  • Not bring illegal items or hazardous materials into vehicles. Firearms policy is governed by applicable law and our Community Standards.
  • Wear seat belts where required.
  • Pay all fares and fees, including damage or cleaning fees where applicable.
  • Not deceive Drivers, misrepresent identity, or request unsafe detours.

9. Community Standards

Harassment, discrimination (on any protected basis), threats, violence, weapons display, sexual misconduct, impersonation, and fraud are prohibited on the Service. Violations may result in immediate suspension or termination of the Account without refund and may be reported to law enforcement.

10. Insurance

10.1 Driver insurance

Drivers must maintain personal vehicle insurance at or above the minimums required by applicable law, plus any additional TNC coverage required by Washington RCW 46.72B.180 and parallel provisions of any other jurisdiction where the Driver operates.

10.2 Platform coverage during TNC "periods"

Consistent with RCW 46.72B.180, Andiamo maintains (or requires Drivers to maintain) commercial automobile liability coverage during the three TNC periods:

  • Period 1 (Driver logged in and available, no accepted ride): minimum $50,000 / $100,000 bodily-injury and $30,000 property-damage liability.
  • Period 2 (Driver en route to pick up a Rider): minimum $1,000,000 primary combined-single-limit commercial liability, plus uninsured / underinsured motorist and personal injury protection at Washington-minimum limits.
  • Period 3 (Rider in the vehicle): same as Period 2.

Andiamo's TNC policy is primary during all three periods and includes a duty to defend. Exact limits, carriers, conditions, and exclusions are set forth in the Driver Agreement and the underlying policies.

10.3 Driver disclosure

Per RCW 46.72B.180, Drivers acknowledge in writing — delivered in their Driver TOS acceptance flow — that (a) personal automobile insurance may not provide coverage when driving for commercial purposes, and (b) if their vehicle is financed or leased, their lienholder or lessor should be notified of TNC use.

10.4 No warranty of coverage

Nothing in these Terms constitutes a warranty or guarantee of coverage beyond what is expressly provided in the Driver Agreement and the underlying policies.

11. Background checks (FCRA and state law)

Where legally permitted, Andiamo obtains consumer reports (as defined by the federal Fair Credit Reporting Act, 15 U.S.C. § 1681 et seq.) and motor-vehicle records at onboarding and periodically thereafter. Drivers authorize these checks and will receive the disclosures, authorizations, and any pre- and post-adverse-action notices required by the FCRA and applicable state law (including, where applicable, California ICRA, New York City FCA, and equivalent statutes).

12. Helper program

The Helper program provides subsidized rides funded by Helper Credits purchased by community members. Helpers must meet eligibility criteria. Helper Credits have no cash value, are non-transferable, and are non-refundable except as required by law. Abuse of the Helper program (e.g., purchasing credits for resale or fraud) is grounds for termination.

13. Your Content and ratings

You retain ownership of Content you submit. You grant Andiamo a worldwide, non-exclusive, royalty-free license to host, display, and distribute Your Content as necessary to operate the Service. You represent and warrant you have the rights to submit the Content and that it does not violate these Terms or any third-party right.

Ratings and reviews must be honest, factual, and free of discriminatory, threatening, or unlawful content.

14. Intellectual property

All Service software, designs, trademarks (including "Andiamo"), and text not provided by users are owned by Andiamo or its licensors. You receive a limited, non-transferable, non-sublicensable license to use the Service for its intended purpose.

15. DMCA

Notices of claimed copyright infringement should be sent to dmca@andiamo.tech and must comply with 17 U.S.C. § 512(c)(3). We will respond to valid notices and counter-notices and will terminate repeat infringers.

16. Disputes between users

Disputes between Riders, Drivers, Helpers, and Providers are primarily between those users. Andiamo may, at its discretion, assist with resolution (including charging or refunding fees, or mediating) but has no obligation to do so.

17. Informal resolution; arbitration

17.1 Informal resolution

Before filing a formal claim, you agree to first contact us at support@andiamo.tech and attempt to resolve the dispute informally for at least thirty (30) days.

17.2 Binding arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms, the Service, or any Ride (a "Dispute"), except as provided in Section 17.5, will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitrator — not any court — has exclusive authority to resolve disputes about the interpretation, enforceability, or scope of this arbitration agreement, except that the class-action waiver in Section 18 is for a court of competent jurisdiction to interpret.

17.3 Opt-out

You may opt out of this arbitration agreement within thirty (30) days of first acceptance by emailing support@andiamo.tech with subject "Arbitration Opt-Out" and including your full name and the email on your account.

17.4 Venue and fees

Arbitration will take place in Skagit County, Washington, or remotely at your election for claims under USD $25,000. Each party bears its own costs except as AAA rules or applicable law require otherwise.

17.5 Exceptions

Either party may (a) bring an individual action in small-claims court, (b) seek injunctive or other equitable relief in court to protect intellectual property or prevent unauthorized access, or (c) pursue claims that applicable law prohibits from being arbitrated (e.g., certain Public Attorney General Act (PAGA) claims in California).

18. Class-action and jury-trial waiver

YOU AND ANDIAMO AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. UNLESS BOTH PARTIES AGREE OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS. IF THIS WAIVER IS HELD UNENFORCEABLE, THE REMAINDER OF SECTION 17 WILL BE SEVERED AND THE DISPUTE WILL PROCEED IN COURT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND ANDIAMO WAIVE THE RIGHT TO A JURY TRIAL.

19. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. WE DO NOT WARRANT THE AVAILABILITY, RELIABILITY, OR SAFETY OF ANY RIDE OR OF ANY DRIVER, RIDER, OR HELPER. TRANSPORTATION SERVICES ARE PROVIDED BY INDEPENDENT THIRD PARTIES AND ANDIAMO DISCLAIMS ALL LIABILITY FOR THEIR ACTS OR OMISSIONS TO THE MAXIMUM EXTENT PERMITTED BY LAW.

20. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ANDIAMO AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, PERSONAL INJURY, OR PROPERTY DAMAGE, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE OR ANY RIDE. OUR AGGREGATE LIABILITY TO YOU WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) USD $100.

Some jurisdictions do not allow limitation of liability for personal injury caused by negligence; in those jurisdictions the above limitation does not apply to such damages.

21. Indemnification

You agree to defend, indemnify, and hold harmless Andiamo from any third-party claim, loss, or expense (including reasonable attorneys' fees) arising from (a) your use or misuse of the Service, (b) your breach of these Terms, (c) your Content, (d) your violation of applicable law or third-party rights, or (e) any Ride you give or receive.

22. Taxes

You are responsible for your own tax obligations. We issue 1099-K forms where required by law. For consumer fare purposes, applicable sales, use, and TNC-related taxes are collected and remitted where required.

23. Third-party services

The Service integrates with Stripe (payments), Stripe Connect (driver payouts), Google Maps (routing), Keycloak / Microsoft Entra External ID (authentication), Postmark (email), and others. Your use of those services is subject to their terms.

24. Termination

We may suspend or terminate your Account for violation of these Terms, applicable law, or for safety reasons, with or without notice. You may close your Account at any time. Sections that by their nature should survive termination will survive.

25. Governing law

Washington law governs these Terms, without regard to conflict-of-laws principles. For matters not subject to arbitration, exclusive venue lies in the state or federal courts located in Skagit County, Washington.

26. Changes

We may update these Terms. Material changes will be announced at least thirty (30) days in advance via email or conspicuous in-product notice. Continued use after the effective date constitutes acceptance. If you do not accept, stop using the Service and close your Account before the effective date.

27. Miscellaneous

  • Entire agreement. These Terms, the Privacy Policy, the Driver Agreement (for Drivers), and any additional feature-specific terms constitute the entire agreement.
  • Severability. If any provision is unenforceable, the remaining provisions stay in force.
  • Waiver. Failure to enforce a right is not a waiver of it.
  • Assignment. You may not assign without our written consent; we may assign in a corporate transaction.
  • Force majeure. Neither party is liable for failure due to causes beyond reasonable control.
  • Export controls / sanctions. You represent you are not located in a country subject to U.S. embargo and not on any U.S. denied-party list.
  • Notices. Notices to you may be delivered by email or in-product notice. Notices to us: support@andiamo.tech.
